The Company discloses information in accordance with the Financial Instruments and Exchange Act and the "Rules concerning Timely Disclosure of Company Information of Issuers of Listed Securities" (Timely Disclosure Rules) stipulated by the Tokyo Securities Exchange.
In addition, the Company discloses other information proactively and impartially that it considers useful to investors for facilitating their understanding of the Company.
Timely Disclosure
Fundamental Stance for Timely Disclosure
The Company's fundamental stance is to provide timely and appropriate disclosure of company information that may significantly impact investors' investment decisions in accordance with the Company's Rules on Insider Trading Control.
Status of Internal System for Timely Disclosure
The Company has established a system in which material corporate information—whether relating to decisions made, events occurred, or financial results, including information pertaining to subsidiaries—is reported to the person responsible for information handling (Director, Chief Financial Officer), who is registered with the Tokyo Stock Exchange pursuant to Rule 417 of the Securities Listing Regulations.
Upon receiving such information, the person responsible for information handling, in consultation with relevant departments, determines whether the information constitutes a disclosure obligation under the Timely Disclosure Rules, and decides the content and timing of the disclosure.
For matters requiring a resolution of the Board of Directors, the outcome of the resolution is promptly communicated to the person responsible for information handling, who then determines whether timely disclosure is required.
If disclosure is deemed necessary, the person responsible for information handling instructs the person responsible for Timely Disclosure (Executive Officer, Head of Investor Relations) to carry out the disclosure procedures and manage the information accordingly.
Disclosures are made by registering the information on the Timely Disclosure network (TDnet), and the same information is also posted on the Company’s website. To prevent information leaks or similar incidents, the Company uses an external service that automatically posts the disclosed information to the Company’s website immediately after submission to TDnet.
